On looking further in the create_cow code, i see it does create /dev/mapper/[cow name] and creates entries in /tmp/cow_backing directory with some files in it. However it ends up with the same error and hung process of dmsetup in the memory.

create_cow -i /root/xen/centos.4-2.img -n cent01 -s 50

Putting /root/xen/centos.4-2.img onto loopback device /dev/loop100
Creating a device mapper device for /dev/loop100
Creating backing file
1+0 records in
1+0 records out
Creating snapshot
device-mapper ioctl cmd 9 failed: Invalid argument
Command failed
