There's not a 2.4 kernel patch for Xen3 at the moment - it proved too much
work to maintain the 2.4 patch during churn in the rest of the tree, and so
the code is out of date. It shouldn't be *too* much work for a kernel
hacker to bring it back up to date, so it might reappear in the future.
You could either use Xen2, which doesn't get updates / fixes very often but
does have Linux 2.4 support. Or you could try and get your distro running
with 2.6.
