Hi,
I'm running self-compiled Xen 3.3.1 on Debian 5.0 and everything works fine. The hardware is Dell PE2950 but I assume that makes no difference here...
I made a clean test installation (reinstalled first Debian) of Xen 3.4.0 and when trying to boot to dom0 it reboots itself. I think this happens during starting Debian's 2.6.26-2-xen-amd64 kernel (it happens so quickly that I need to somehow make a video of the console and do post-reboot analysis what and where things go bad).
This is what's different on grub's menu.lst:
