Sure,  getting this rinse bug fixed you'll get login to DomU. I just cannot understand why old fashioned style of PV DomUs setup ( with all kind of debootstrap's fun) seems so attractive on the system having virt-install ready to go. Please, advise. Where i am wrong ?

  Yup. Put it before the line "1:2345:respawn:" ... I think what happens is your domU boots succesfully, but it does not display any login prompt on console (which is xvc0).
  Oh and you should also add "xvc0" to /etc/securetty.
