There are at least two reasons: 1)If I would like to upgrade the version of an existing installation  (if I'm using a redhat distro), I need to boot from cd and choose to upgrade an existing installation. 2)If I want to test some live distro, I need to boot from cd.

You can't boot a PV guest from CD, I'm afraid :-(
  What are you trying to do?  For installing the guest there are various tools (virt-manager / virt-install, rpmstrap, debootstrap and others) that can help
 you create a guest filesystem without needing a boot CD.
