Hmm - so it looks like you're getting an error deep within 
xc_linux_build. This might fail due to a bogus (or inaccessible) 
kernel image - is /boot/vmlinuz-2.6.12-xenU valid? 

As far as I can see most error paths should issue something on stderr
- can you check /var/log/xend-debug.log?
