i had the save problem.
Check grub.conf
It should be like:
title CentOS (2.6.18-164.el5xen)
root (hd0,0)
kernel /boot/xen.gz-3.4.1
module /boot/vmlinuz-2.6.18-164.el5xen ro root=/dev/md0
module /boot/initrd-2.6.18-164.el5xen.img
(Atention!) kernel /boot/xen.gz-3.4.1
