A workaround was discovered.  Here are the steps that appear to fix this issue.
 - xm destroy domu  <--- do for each, since shutdown doesn't work
 - reboot dom0
 - xm create /etc/xen/domu.cfg <--- do for each VM, if auto/ doesn't start them

The physical server was rebooted after the kernel updates, so "why" this works
after a 2nd reboot is unknown and seems odd.

xm shutdown -w domU is working after the 2nd dom0 reboot.
