Little bit more information...

PAE is not enabled.

"Same happening with 2.6.15-1.2054_FC5xenU and 2.6.15-1.1955_FC5guest"
xenU == guest
dom0 == host

domU has one cpu in use, but when using 2, same happens..

Server is HS20 8843 and it has 2 HT enabled xeon in it.

And when trying 2.6.15-1.1955_FC5guest I've been using same dom0 (host) -kernel 
and corresponding 
xen-build (from fc4.92) and same from fc-rawhide.
