The dom-U kernel may not have been compiled with support for > 1GB of memory.

Get the xen source, compile, and run:
make -C linux-2.6.9-xenU ARCH=xen menuconfig

Go to:
X86 Processor Configuration
 --> High Memory Support
     and choose 4GB

Recompile, and the kernel and its modules should be in dist/install
