I think I had the same very problem, and I solved it by downgrading udev from 
079 
to 070. 
I am on a gentoo uclibc-hardened system, and hotplug is not installed. 
According to the gentoo ebuild for xen3, xen3 needs either udev or hotplug.  
udev 079 has never worked on my 2.6.11/2.6.12-powered desktop machine, and 
obviously it doesn't do so on my 2.6.12-based Xen-machine either. 

So you may try tampering with udev or hotplug, depending on your system.
